These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "user") and TSF Band ("we," "us," or "our") governing your access to and use of the TSF Band mobile application and all related services (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
TSF Band is a band management application designed for musicians and musical groups. The Service provides tools for event scheduling and calendar management, financial tracking and expense management, team communication including direct and group messaging, merchandise catalog and inventory management, setlist creation and organization, document storage and sharing, task assignment and tracking, contact management, and fan engagement features. The specific features available to you may vary depending on your subscription status, assigned role within a band group, and the permissions configured by your group administrator.
To access and use the Service, you must create a user account by providing accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. You are responsible for all activities that occur under your account, whether or not authorized by you. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service for any purpose that is illegal or prohibited by these Terms or applicable law; (b) upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (c) attempt to gain unauthorized access to any portion of the Service, other user accounts, computer systems, or networks connected to the Service; (d) interfere with, disrupt, or create an undue burden on the Service or the networks or servers connected to the Service; (e) use the Service to transmit unsolicited commercial communications (spam), chain letters, or pyramid schemes; (f) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; (g) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; or (h) use any automated means, including bots, scrapers, or spiders, to access, monitor, or copy any content from the Service.
You retain all ownership rights in the content you create, upload, or share through the Service, including but not limited to messages, photographs, documents, setlists, and event information ("User Content"). By submitting User Content to the Service, you grant TSF Band a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, transmit, display, and distribute such User Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your User Content or your account, except to the extent that your User Content has been shared with other users who have not deleted it. You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not infringe the intellectual property rights or other rights of any third party. You are solely responsible for your User Content and the consequences of sharing it through the Service.
The Service, including all associated software, design elements, visual interfaces, graphics, compilation, computer code, products, features, functionality, and documentation, as well as the TSF Band name, logo, and all related trademarks, service marks, trade names, and trade dress, are the exclusive property of TSF Band and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, reproduce, republish, upload, post, transmit, distribute, sell, license, or create derivative works based on the Service or any part thereof without our prior written consent. Nothing in these Terms grants you any right, title, or interest in the Service or any intellectual property therein, except for the limited right to use the Service as expressly permitted by these Terms.
Certain features of the Service may require a paid subscription. All subscription payments are processed through Apple Inc. via the App Store. By purchasing a subscription, you agree to the pricing and payment terms as presented to you at the time of purchase. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You may manage your subscription and turn off auto-renewal in your Apple ID account settings. Refund requests should be directed to Apple in accordance with their refund policies. We reserve the right to change subscription pricing upon reasonable notice; any price changes will take effect at the start of your next billing period following the date of the price change.
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to a violation of these Terms, at our sole discretion and without prior notice or liability. You may terminate your account at any time by deleting it through the application settings. Upon termination of your account, your right to use the Service will immediately cease, and your personal data will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TSF BAND, ITS DEVELOPER, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany and applicable European Union regulations, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Germany. Notwithstanding the foregoing, you agree that we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice through the Service or by other means reasonably calculated to provide notice. The date of the most recent revision will be indicated by the "Effective date" at the top of this page. Your continued use of the Service after the effective date of any modifications constitutes your binding acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with the Privacy Policy and any other legal notices or agreements published by us in connection with the Service, constitute the entire agreement between you and TSF Band regarding the Service and supersede all prior agreements and understandings. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms without restriction.
